Definitions

In this document, the following words shall have the following meanings: "customer" and “delegate” refer to the organisation or person who buys goods and services from Align Training Limited. “Programme” refers to any training event or workshop offered by Align Training. “Application” refers to the programme application form for professional courses or a direct booking where an admittance interview is not necessary. These Terms and Conditions apply to all contracts for the supply of goods and services by Align Training Limited to the customer.

 

Terms and Conditions

 

1. Submission of an application, and/or payment for a programme, by a delegate constitutes understanding and full agreement to the terms and conditions set by Align Training and constitutes a formal offer of contract. A contract for services shall only be deemed to be in place when Align Training accepts this offer by sending an e-mail to confirm that a place has been reserved on the specified programme. Automated confirmation of payment does not constitute formal acceptance of the offer of contract and Align Training reserves the right to issue a refund of fees before the contract is confirmed.

 

2. Should a purchase order be required for payment of the invoice, it is the delegate's responsibility to ensure Align Training has the full details and agreed purchase order before the products or services are supplied. In submitting an application with a purchase order, the delegate confirms that approval has been granted for payment of the fee. It is the responsibility of the delegate to ensure they are familiar with their employer’s purchasing policies and procedures. The delegate is responsible for payment of the fee once an offer of a place has been made by Align Training and accepted by the delegate or a direct workshop booking has been made.

 

3. Payment should be made in cleared funds within 28 days. Late payment may incur charges including late payment fees, interest, administration costs and legal fees where necessary. Certain professional programmes incur assessment fees and fees for registering for external awards. These are in addition to the course fees that are payable. The HPD course has an additional fee of £125 for the assessment of the delegate's portfolio and the registration fee for the NCH professional body is also payable by the delegate. The delegate will be invoiced and will have to pay these fees before assessment and/or registration is provided.

 

4. Align Training is not liable to refund fee or price differences that may arise due to delegates or customers purchasing goods or services at different times, including discounts, promotions or any other special offers.

 

5. Attendance for the programme will only be secured when full payment has been made in cleared funds.

 

6. Full payment for all programmes must be received at least 5 days before the programme begins. This does not override the payment terms for invoices and payment may be due considerably earlier.

 

7. All programme fees are non refundable. Substitutions will only be considered by prior arrangement, providing at least 10 days notice in advance of the first day of the programme, and are at the sole discretion of Align Training.

 

8. Align Training is not liable to provide refunds or credits if a delegate fails to attend a programme due to circumstances beyond our control. Examples of such circumstances include, but are not limited to actual or potential weather conditions, travel disturbances, bereavements, terrorist activities, civil disturbances, fires, natural disasters, epidemics, industrial disputes plus any other events beyond our control not listed above.

 

9. No description, specification or illustration contained in any product, brochure or other sales or marketing literature of Align Training and no representation written or oral, correspondence or statement shall form part of the contract. These terms and conditions constitute the entire agreement between the parties and supersede all previous agreements (written or oral) between the parties in relation to its subject-matter. Each party acknowledges that in entering into this agreement it has not relied on, and shall have no right or remedy in respect of, any statement, representation, assurance or warranty (whether made negligently or innocently) other than as expressly set out in this agreement. Nothing in this clause shall limit or exclude any liability for fraud.

 

10. No unauthorised use of the Align Training or Learning Freedom™ logos or any other intellectual property of Align Training will be permitted at any time.

 

11. All Align Training workshops and programmes are eligible to be recorded via audio and/or video. Align Training reserves the right to use this material for marketing purposes without seeking the delegates' permission and such material shall become and remain the intellectual property of Align Training.

 

12. Any deviation from these terms and conditions shall be at the sole discretion and goodwill of Align Training and shall not be construed as setting a precedent.

 

13. The times of delivery specified by Align Training form an estimate and shall not be the essence of the contract. Align Training shall not be liable for any loss, costs, damages, charges or expenses caused directly or indirectly by any delay in the delivery of any programme or product.

 

14. In the event that a booking is cancelled by the delegate, an administration charge will be incurred. The Mind Wide Open workshop incurs a 100% administration charge in the event of cancellation at any time following booking. All other programmes are workshops are subject to the following cancellation fees: 20% of the full fees for cancellations 90 days or more in advance of the first training day of the programme. Thereafter, the cancellation fee will be equivalent to 100% of the total fees. Cancellations are only valid in writing, via email or letter, and are applicable from the date of arrival in the Align Training office. Proof of sending will not be taken as proof of delivery, therefore delegates should also phone the office to confirm their decision to cancel a booking.

 

15. It may be necessary on some occasions or due to circumstances beyond Align Training’s control to change the venue, dates and/or trainers. Delegates will be notified of the venue status upon receiving their booking. If Align Training changes the programme venue, the delegate will receive written confirmation with sufficient notice.

 

16. The programme content specified on the website and in marketing materials is for guidance only. Align Training reserves the right to change the programme venue, use more appropriate trainers and amend the programme in any way to improve the event, warranting that the programme will always be delivered with reasonable skill and care. We also retain the right to subcontract services if necessary.

 

16. Confidentiality regarding information held on delegates/customers by Align Training shall be maintained as outlined in the Privacy Notice published on the website.

 

17. Align Training shall not be liable for any additional travel and accommodation costs the delegate may incur should the programme dates or venue be altered. Delegates wishing to make early travel arrangements/hotel bookings should check first with the Align Training office for guidance.

 

18. Where VAT has been applied to fees or products, this will be clearly stated. If no reference is made to VAT, this means that it is not applicable to the costs outlined.

 

19. In the event that Align Training has to withdraw a programme or product, a full refund will be offered to delegates, but Align Training shall have no further liability for any other costs incurred by the delegate.

 

20. Submission of a programme application by any delegate is deemed to constitute agreement to Align Training’s full terms and conditions.

 

21. Admittance to any training programmes is at the sole discretion of Align Training. Align Training reserves the right to decline a programme application from any delegate either prior to or following an interview.

 

21. Delegates are expected to behave in an appropriate manner during training programmes and must not cause offence or disruption to Align Training’s employees or any other delegates.

 

22. If a delegate displays unacceptable behaviour during a training programme they will be asked to leave and no refund will be given. Unacceptable behaviour includes any actions that are deemed by an employee of Align Training to be disruptive or offensive to Align Training’s employees, trainers or other delegates.

 

23. Certain services offered on or through Align Training website require the customer to open an online account.

 

24. The customer is responsible for maintaining the confidentiality of their account information, including their password, and for all activity that occurs under their account.

 

25. The customer must notify Align Training immediately upon becoming aware of unauthorized use of their account or password, or any other breach of security. The customer may be held liable for losses incurred by Align Training or any other user if someone else uses their password or customer account.

 

26. Application forms for training programmes are only valid on the day they were downloaded from Align Training website. It is the delegate’s responsibility to ensure they submit the most up to date version of the application form and any fees payable or programme availability shall be those that are current on the website.

 

27. Applicants for professional training courses must follow the correct booking procedure outlined on the website. If applicants book online for a course without first following the application process and are subsequently not offered a place on the course, the refund of their course fee will be subject to deductions of financial costs incurred by Align Training, including merchant fees and credit card company fees, plus an administration charge.

 

28. Certificates for licensed programmes offered by Align Training require the delegate to sign a licensing agreement upon which certification is awarded.

 

29. Where no formal written assessment element is required, skills competency will be observed during the training. There is a time limit on achieving certification and this will be explained during each individual course.

 

30. These terms and conditions shall be governed by and construed in accordance with English law. If any provision of any part of these terms and conditions is held to be unlawful, invalid or unenforceable, that provision shall be deemed severed and the validity and enforceability of the remaining provisions of this document shall not be affected.

 

31. These terms and conditions may be modified at any time and become immediately valid upon publication within Align Training’s website.

 

32. All media (downloaded or samples), software, photographs, logos, text, trademarks, images, graphics, user interfaces, videos, music, artwork and other content on the website (collectively, "Content") is owned or licensed by or to Align Training, and is protected by copyright, trade dress, trademark laws, and other relevant intellectual property rights laws. Neither the website nor the Content may be reproduced, recorded, publicly displayed, sold, rented, published, uploaded, posted, altered to make new works, performed, broadcast, distributed, digitized, compiled, translated or transmitted in any way to any other computer, website or other medium or for any commercial purpose, without express written consent from Align Training. Align Training disclaims all responsibility and liability for uses by you of any Content obtained on or in connection with the website.
